The consortium is established under the legal form of a commercial company, with external activities as an Economic Interest Group, named:

The headquarters of the consortium is located at: ELghazala Technopark, Tunis

The consortium may establish secondary headquarters, liaison offices, branches in other foreign regions, and transfer them.

The Global Development Alliance for Asia & Africa is a non-profit consortium of universities, R&D centers, and companies providing services, considering their complementarity, with the following objectives:

• a) Promote the development of member countries through education, culture, international cooperation, and knowledge sharing.
• b) Establish annual activity and program plans for the group.
• c) Develop cooperation framework programs and international partnerships for the benefit of members to develop target markets.
• d) Represent the consortium in relations with domestic and foreign instances, public and private sectors, institutes, and international organizations.
• e) Implement activities and services for the benefit of consortium members, promoting agreements between different companies.
• f) Develop activities reflecting the exchange activities of the consortium and its members.
• g) Create follow-up platforms for the promotion of consortium members individually or collectively.
• h) Implement any activity deemed useful to achieve the statutory objectives.

The duration of the consortium is fixed until December 31, 2050, unless extended or early dissolution.

The consortium fund is initially equal to the sum of initial contributions paid by the founding members. The common fund is composed of member contributions, donations, subsidies, and annual fees. The common fund remains indivisible throughout the duration of the consortium.

Members: Private or public universities, companies, professional training institutions, organizations, associations, scientific and technical research bodies.

Admission: To become a member, one must submit a request to the administrator with statutory and legal information, and accept all statutes.

• Representation: Each member must designate a representative.
• Obligations: Compliance with statutes and decisions, initial contribution, communication of changes.
• Annual Contributions: Set by the General Assembly.
• Withdrawal: Possible by registered letter before June 30, effective January 1 of the following year.
• Exclusion: Can be decided by the General Assembly for non-compliance or inability to contribute.

The institutions of the alliance are:

• a) General Assembly / 成员集会 - Composed of member representatives in good standing.
• b) President as Director / 主席以董事身份 - Appointed by the General Assembly for a 3-year term, renewable.
• c) Steering Committee / 指导委员会 - Includes the Director General and up to 12 elected members.
• d) Independent Scientific Council / 独立科学理事会 - Composed of 4 to 6 international experts.

General Assembly Powers: Discuss reports, approve budgets, appoint directors, modify statutes, dissolve the consortium, establish guidelines.

President's Powers: Legal representative, executes assembly decisions, ensures daily management, prepares annual reports.

Steering Committee: Defines scientific and budgetary guidelines, meets at least twice a year, drafts annual scientific programs.

Scientific Council: Analyzes reports, provides scientific opinions at General Assemblies.

联盟机构：成员集会，主席以董事身份，指导委员会，独立科学理事会。成员集会讨论报告，决定预算，任命董事，修改状态，解散财团。主席是法定代表人，执行大会决定，确保日常管理。指导委员会确定科学和预算准则，每年至少召开2次会议。科学理事会由4至6名国际专家组成，分析报告并提供科学意见。

• Budget (Art. 30): Fiscal year from January 1 to December 31. Provisional and final budgets prepared by the Director and approved by the General Assembly.
• Modifications (Art. 31): Amendments to statutes fall under the jurisdiction of the General Assembly, approved by majority vote.
• Withdrawal (Art. 32): Withdrawal right granted to members who do not agree with statutory modifications.
• Dissolution (Art. 33): Decided by Extraordinary General Assembly with at least three-quarters of votes.
• Dispute Resolution (Art. 34): Mediation or arbitration by ILO or appointed arbitrators. Decisions are written, reasoned, and enforceable.
• Final Provisions (Art. 35): The parties reserve the right to correct and modify the statutes as deemed useful. For all matters not foreseen, common law applies.

预算：财政年度为每年的1月1日至12月31日。修改：章程的修改属于大会的权限范围，必须经过多数投票批准。溶解：特别大会决定，代表至少四分之三选票。争议解决：调解或仲裁裁决，书面形式，合理。最终条款：保留纠正和修改本章程的权利。
